Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and YamuGo Inc (“YamuGo,” “we,” “us,” or “our”), a company incorporated in Canada and based in Ontario. They govern your access to and use of the YamuGo websites, mobile applications, and related services (together, the “Platform”). By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

Important — please read. These Terms include a limitation of our liability, a disclaimer of warranties, your agreement to indemnify us, and a governing-law and dispute-resolution provision. They affect your legal rights.

1. What YamuGo is (and is not)

YamuGo is a technology platform that connects independent drivers and riders who wish to share journeys, and facilitates matching, communication, trip coordination, and payment between them. YamuGo is not a transportation carrier, taxi service, or transportation provider, and does not own, operate, or control any vehicle.

Drivers using the Platform are independent individuals, not employees, agents, partners, or representatives of YamuGo. YamuGo does not direct or control the manner, route, or means by which any trip is carried out. Any transportation is provided solely by the driver, and any agreement to share a trip is directly between the rider and the driver.

2. Eligibility & accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You must provide accurate, current information, including a valid mobile number for verification, and keep it up to date.
  • You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately of any unauthorized use.
  • Drivers must hold a valid licence, registration, and insurance as required by law.

3. Communications & SMS

By using the Platform you agree to receive account and trip-related communications, including SMS and email, as described in our SMS & Opt-In page and Privacy Policy. Message frequency varies and message and data rates may apply. You can opt out of non-essential SMS at any time by replying STOP.

4. Payments

Payments are processed by third-party payment providers (such as Stripe). By making or receiving payments through the Platform, you agree to the applicable provider’s terms. You authorize us and our payment providers to charge your selected payment method for amounts you owe, including trip fares, subscription fees, and applicable taxes. Fares, fees, and any cancellation charges are shown in the app before you confirm.

5. Cancellations & refunds

Cancellation and refund rules are presented in the app at the time of booking and may vary by trip type. Except as required by law or expressly stated, fees already incurred are non-refundable.

6. Acceptable use

You agree not to:

  • use the Platform for any unlawful, fraudulent, or harmful purpose;
  • harass, threaten, discriminate against, or endanger any other user, or behave unsafely during a trip;
  • misrepresent your identity, circumvent verification, or create accounts by unauthorized means;
  • interfere with, disrupt, scrape, reverse-engineer, or attempt to gain unauthorized access to the Platform.

7. Safety & assumption of risk

While we provide safety features and verification tools, YamuGo does not guarantee the conduct, suitability, legality, safety, or ability of any user, driver, rider, or vehicle. Sharing a ride with people you meet through the Platform is done at your own risk. You are responsible for taking reasonable precautions and for your own safety decisions.

8. Insurance

YamuGo does not provide insurance to drivers or riders. Drivers are solely responsible for maintaining any insurance required by applicable law for their vehicle and activity. Riders should not assume any coverage is provided by YamuGo.

9. Disclaimer of warranties

To the maximum extent permitted by law, the Platform is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any trip will be provided, completed, or meet your expectations.

10. Limitation of liability

To the maximum extent permitted by law, YamuGo and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, personal injury, property damage, or other intangible losses, arising out of or relating to your use of (or inability to use) the Platform or any trip, interaction, or conduct of any user — whether based in contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the amount you paid to YamuGo in the three (3) months before the event giving rise to the claim, or (b) CAD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless YamuGo and its officers, directors, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your trips or interactions with other users, your content, or your breach of these Terms or of any law or the rights of any third party.

12. Suspension & termination

We may suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure, or engaged in unsafe or unlawful conduct. You may stop using the Platform and request account deletion at any time.

13. Third-party services

The Platform relies on third-party services (for example, mapping, messaging, payment, and hosting providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.

14. Changes to the Platform or Terms

We may modify the Platform or these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use after changes take effect constitutes acceptance of the updated Terms.

15. Governing law & disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Subject to applicable law, you agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, and you consent to their jurisdiction. The parties will attempt in good faith to resolve any dispute informally before commencing proceedings.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them. These Terms, together with the Privacy Policy and SMS & Opt-In page, are the entire agreement between you and YamuGo regarding the Platform.
